Chapter 12 - The Company Inside the Company.

Jonah mapped the transactions across an entire conference wall.

Ashford paid consultants.

The consultants paid Northline affiliates.

Northline prepared to refinance Vale Mercer.

If the loan closed and the company later missed its targets, Northline could seize valuable hotel assets.

Eleanor's brother stood on both sides of the deal.

Claire finally saw the full shape of it.

The crisis was not simply being managed badly.

Someone had positioned themselves to profit from it.

The special shareholder meeting began at three.

Eleanor arrived as if nothing had changed.

She wore a dark green suit and carried a red folder.

Claire sat opposite her.

Ethan remained in the back of the room.

Thomas did not attend.

The independent trustee voted the Mercer trust shares with Claire.

Several small shareholders revoked questionable proxies.

Eleanor's expected majority vanished.

Then she opened the red folder.

"I propose an emergency issuance of new shares."

Mara leaned toward Claire.

"Dilution."

If approved, new shares could reduce Claire's voting percentage.

Paul Benson objected.

"We are under investigation."

Eleanor answered.

"We are also under financial threat."

Claire opened the founder charter.

"The protection clause blocks dilution tied to disputed transactions."

Eleanor stared at her.

"You think that piece of paper makes you untouchable."

Claire shook her head.

"No."

She looked around the room.

"Accurate records make all of us accountable."

The issuance failed.

Seven directors then requested Eleanor's temporary suspension from financial authority.

This time, the vote passed.

For several seconds, Eleanor did not react.

Then she turned toward Ethan.

"Say something."

Ethan stood.

Claire watched him carefully.

He walked to the table.

He placed his phone in front of the board secretary.

"My mother asked me to delete messages two nights ago."

Eleanor's face froze.

Ethan continued.

"I didn't."

The room went silent.

He had preserved voice notes, texts, and calendar invitations.

One message instructed him to pressure Claire until she signed the proxy.

Another told him to describe Claire as unstable if she refused.

Ethan looked at Claire.

His voice was quiet.

"I helped her."

Claire felt no triumph.

Only exhaustion.

Ethan continued.

"And when Claire refused, I lost control and threw the plate."

Nobody moved.

"I was wrong."

Eleanor stood.

"You weak, ungrateful boy."

Ethan flinched.

Then something changed in his posture.

He did not sit down.

He did not apologize to his mother.

He looked at the directors.

"I will cooperate with the review."

Eleanor picked up her red folder.

"You'll regret this."

Claire answered before Ethan could.

"That sentence has controlled this family long enough."

Eleanor looked at Claire with open hatred.

Then she left the room.

The doors closed behind her.

Claire thought the worst part was over.

Jonah's phone rang.

He listened.

His face changed.

"What?"

Claire asked.

Jonah lowered the phone.

"Northline just issued a default notice."

Mara frowned.

"The refinancing was frozen."

"Exactly."

Jonah looked around the room.

"They're claiming the freeze itself triggered default."

Claire understood the next battle immediately.

May you like

Eleanor had lost control inside the company.

So Northline was attacking from outside.
